內容簡介：
中外合資FJ液化天然氣有限公司與VTN拖輪有限公司擬簽訂拖輪長期服務合同。FJ液化天然氣有限公司委托成都市思譯翻譯有限公司將該合同文本翻譯為英文，以供其外方股東審查批準。筆者在思譯公司實習期間，根據(jù)公司安排，得以獲得該文本的翻譯權限，翻譯了該合同文本。
本實踐項目節(jié)選自該合同1-28章，共16483字。該合同通過對相關內容的定義和解釋，界定了FJ液化天然氣有限公司與VTN拖輪有限公司各自的權利和義務。公司方期望在本合同附件中所描述的作業(yè)區(qū)域及相關區(qū)域內，獲得所有本合同附件中所描述的與公司液化天然氣接收站相關的服務，以及承包商從事此類服務的業(yè)務，具有相關經驗和專業(yè)技術，并將依照本合同中的條款提供船舶、設備及經過全面培訓的稱職人員來履行服務。因此，考慮到雙方能通過本協(xié)議而實現(xiàn)的利益，以及本協(xié)議中規(guī)定的相互條件和特別對價，雙方達成此協(xié)議。

ST:如果任何一艘服務船滅失，有關該服務船的服務費應從其滅失當天中午起停止計算；如果服務船失蹤，有關該服務船的服務費應從最后收到其消息的當天中午起停止計算，有關該服務船此前已預支的但不應獲得的服務費應歸還公司。
TT1:In the case of any Support Vessel lost, service fee in respect of such Support Vessel shall cease to accrue from noon on the day of such loss, and in the case of the disappearance of the Support Vessel, service charge in respect of such Support Vessel shall cease to accrue from noon on the day on which news of such Support Vessel is last received. And the service fee in respect of such Support Vessel shall be reimbursed to the Company which have been previously advanced but shall not be earned.
TT2:If any Support Vessel suffers a loss of functionality, the Service Fee for such Support Vessel shall cease to accrue from 12:00 PM (noon) on the day of such loss; if any Support Vessel is lost, the Service Fee for such Support Vessel shall cease to accrue from 12:00 PM (noon) on the day when news of such Support Vessel was last received. Any prepaid Service Fee attributable to the period after such cessation time shall be immediately reimbursed to the Company.

The Company requires the Contractor to provide all the Services described in Annex "B" hereto relating to the Company's LNG Terminal within the operational area described in Annex "A" hereto and adjacent areas; and the Contractor is engaged in the business of performing such Services, possesses the relevant experience and expertise, and undertakes to provide vessels, equipment, and fully trained and qualified personnel to perform the Services in compliance with the terms of this Contract.

ST:因一方的賄賂行為造成對方損失的，賄賂方應就對方的損失承擔賠償責任，并承擔相應的法律責任。
TT1:If the other party’s loss is caused by virtue of one party’s bribery, the bribing party shall be liable for compensation for the other Party’s loss and solely bear all relevant legal liabilities arising therefrom under Applicable Laws.
TT2:If one party’s bribery causes losses to the Affected Party, the bribing party shall compensate the Affected Party for all such losses and solely bear all relevant legal liabilities arising therefrom.
研討反思：
法律翻譯的本質是在語言轉換中重構法律效力。譯者需兼具"法言法語"的精準把控與對文本深層邏輯的透視能力。正如例2中“undertakes to provide”的增譯所示，優(yōu)秀的法律譯文往往需在“形式對等”與“功能對等”間尋求平衡。未來將聚焦術語體系化、句式專業(yè)化、邏輯顯性化等能力的提升，以實現(xiàn)商務合同翻譯的精準"。通過分析翻譯文本中的詞匯錯誤，我深刻認識到選詞需結合語境、詞性及文化背景，否則在商務語境中可能引發(fā)歧義。中式英語與法律慣用表達存在差距，需要用本土化的正式語言對合同文本進行英譯，因果關系或轉折關系的表達需符合目標語言習慣。翻譯中需關注語法結構、時態(tài)一致性及主謂關系，實現(xiàn)句法邏輯的嚴謹性。
法律翻譯的“雙重忠實”原則：需同時忠實于原文語義與法律效力。如例2中“undertakes to provide”的增譯，既未偏離原意，又強化了合同約束力。避免過度直譯導致邏輯模糊（如例1中"previously advanced"的歧義）句式結構服務于法律邏輯：長句拆分需保留邏輯關聯(lián)詞（如"provided that", "whereas"）；被動語態(tài)使用需謹慎（例2中主動語態(tài)更利于明確責任主體）。
